These Import Terms govern your use of the EasyMLS listing import tools.
EasyMLS is operated by EasyMLS Yachting, LLC ("EasyMLS," "we," "us," or "our"), based in Florida, United States.
By using any EasyMLS import feature, submitting a URL, connecting an API or feed, uploading a file, enabling import sync, or checking the import authorization box, you agree to these Import Terms.
These Import Terms apply in addition to the EasyMLS Terms of Service and Privacy Policy.
If there is a conflict between these Import Terms and the Terms of Service, the Terms of Service will control unless these Import Terms specifically apply to the import feature.
EasyMLS allows users to import boat, yacht, and charter listing information from sources such as:
Depending on the source and import method, EasyMLS may import and process listing-related content, including:
EasyMLS may copy imported photos into EasyMLS-controlled storage so that listings can be managed, displayed, edited, synced, or distributed through the EasyMLS platform.
EasyMLS does not use the import feature to access pages that require login credentials, paywall access, CAPTCHA bypass, or other restricted access methods.
By using any import feature, you represent and warrant that:
You are solely responsible for confirming that you have the necessary rights before importing any listing content.
EasyMLS does not verify vessel ownership, listing authorization, photo ownership, description ownership, source authorization, broker authority, seller authority, or the accuracy of imported listing information.
If you use the import feature on behalf of a company, brokerage, dealer, employer, client, boat owner, rights holder, or other organization, you represent and warrant that:
You are responsible for all import activity performed through your account.
EasyMLS may import photos and images from website URLs, API/feed sources, uploaded files, and other supported import sources.
You are solely responsible for ensuring that you own or have valid authorization to import, use, publish, and distribute all photos and images submitted to or imported through EasyMLS.
You may not import, upload, publish, or distribute photos from another broker, photographer, manufacturer, marketplace, listing platform, website, database, or third-party source unless you have the necessary rights or written authorization.

EasyMLS may import listing descriptions, marketing text, factual vessel data, and other text-based listing information from submitted sources.
You are responsible for ensuring that you have the right to import, use, edit, publish, and distribute any imported descriptions or text.
Factual listing information, such as make, model, year, price, dimensions, and location, may still be subject to platform rules, contractual restrictions, or other legal obligations depending on the source.
You may not import or republish copied descriptions, marketing text, brochures, documents, or other written content unless you own the content or have authorization to use and distribute it.
EasyMLS may allow imported content to be edited, formatted, cleaned up, adapted, translated, or otherwise modified as part of the platform. You remain responsible for reviewing imported or edited content before publishing or distributing it.
If you upload a PDF, Excel file, CSV file, or other supported file, you represent and warrant that:
EasyMLS may extract listing fields and related content from uploaded files.
EasyMLS does not treat the uploaded source file as the primary listing record. EasyMLS may store extracted fields, imported content, import metadata, and related records as needed to provide the service, operate the platform, support compliance, and resolve disputes.
Some import methods may allow daily sync.
Daily sync is currently intended for API/feed imports where the user selects the daily sync option.
If daily sync is enabled, you authorize EasyMLS to re-import, refresh, update, or process listing data from the submitted API/feed source on a recurring basis.
If daily sync is not enabled, the import is performed one time only.
Daily sync may update imported listing fields, descriptions, photos, pricing, availability, or other listing information depending on the source and platform configuration.
You are responsible for reviewing synced listings and confirming that the updated information remains accurate, authorized, and appropriate for use.
EasyMLS may modify, suspend, or discontinue sync functionality at any time.
Imported listings are not automatically published to third-party listing sites unless the user activates or pays for applicable distribution features, subject to plan limits, portal availability, fees, platform rules, and third-party requirements.
EasyMLS may allow users to publish, export, sync, or distribute listings to third-party boat listing sites, partner portals, MLS platforms, APIs, feeds, or other distribution channels, including supported portals such as Batoo, Boatsall, or other listing services made available through the platform.
By choosing to publish or distribute imported content, you confirm that you have the right to distribute that content to the selected destinations.
Third-party listing sites and partner portals may have their own rules, fees, technical requirements, review standards, approval processes, formatting requirements, and removal practices.
EasyMLS does not guarantee that any third-party site or portal will accept, publish, display, update, rank, or remove a listing correctly or within any specific timeframe.
You retain ownership of content you submit or import, subject to the rights granted to EasyMLS.
By submitting, uploading, importing, syncing, publishing, distributing, or otherwise providing content to EasyMLS, you grant EasyMLS the rights necessary to operate the platform and provide the import, listing, sync, export, and distribution services.
This includes the right to host, store, copy, process, reproduce, display, publish, transmit, distribute, export, format, modify, adapt, translate, update, remove, and otherwise use imported content as needed to provide EasyMLS services.
You represent and warrant that you have all rights necessary to grant this license.
You may not use the EasyMLS import feature to import, upload, process, publish, distribute, or use:
EasyMLS may reject, remove, restrict, suspend, or investigate imports that appear unauthorized, suspicious, unlawful, infringing, misleading, abusive, or inconsistent with these Import Terms or the Terms of Service.
EasyMLS may log import-related activity and import-term acceptance records.

EasyMLS may retain import records, logs, metadata, and related information for as long as reasonably necessary for the purposes described in these Import Terms, the Terms of Service, and the Privacy Policy.
If you believe content has been imported, copied, published, distributed, or used through EasyMLS without authorization, contact:

Your request should include enough information for EasyMLS to review the issue, such as:
EasyMLS may remove, restrict, disable, investigate, or suspend content at its discretion.
EasyMLS may also restrict imports, suspend listings, suspend accounts, revoke verification status, or terminate users in response to credible complaints or suspected misuse.
Removal or restriction of content does not constitute an admission of liability by EasyMLS.
EasyMLS provides import tools as a technology service.
EasyMLS does not verify:
You are solely responsible for verifying the legality, accuracy, authorization, and suitability of all imported content before using, publishing, syncing, exporting, or distributing it.
EasyMLS may, at its discretion and with or without prior notice:
EasyMLS may take action if it believes imported content is unauthorized, infringing, misleading, fraudulent, unlawful, abusive, risky, or inconsistent with these Import Terms, the Terms of Service, or platform rules.
EasyMLS import tools are provided on an "as is" and "as available" basis.
EasyMLS does not guarantee that imports, extracted data, synced data, descriptions, photos, file parsing, API/feed connections, or third-party distribution will be accurate, complete, current, uninterrupted, error-free, or accepted by any third-party platform.
You are responsible for reviewing all imported content before relying on, publishing, distributing, exporting, or syncing it.
To the maximum extent permitted by law, EasyMLS is not liable for claims, losses, damages, disputes, takedowns, removals, account restrictions, portal rejections, listing errors, copyright claims, third-party complaints, or other issues arising from content submitted, imported, synced, published, exported, or distributed by you or through your account.
EasyMLS's liability is limited as described in the EasyMLS Terms of Service.
You agree to defend, indemnify, and hold harmless EasyMLS, its owners, officers, employees, contractors, service providers, vendors, affiliates, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
EasyMLS reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with EasyMLS in defending such claims.
EasyMLS processes import-related information as described in the EasyMLS Privacy Policy.
This may include source URLs, uploaded files, imported content, photos, descriptions, user authorization confirmations, timestamps, IP addresses, user or account identifiers, technical metadata, and related records.

EasyMLS may update these Import Terms from time to time.
Updated Import Terms may be posted on the EasyMLS website, platform, dashboard, or import flow.
Your continued use of the import feature after updated Import Terms become effective means you accept the updated Import Terms.
If you do not agree to the updated Import Terms, you must stop using the import feature.
These Import Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Unless otherwise required by law or agreed in writing, disputes arising out of or relating to these Import Terms, EasyMLS, or the import feature will be handled in the state or federal courts located in Miami-Dade County, Florida.
You consent to the personal jurisdiction and venue of those courts.
