These Terms of Service ("Terms") govern access to and use of the EasyMLS platform, website (www.easymls.com), APIs, MLS network, and related services operated by EasyMLS Yachting, LLC. By creating an account or using EasyMLS, you agree to comply with these Terms. If you do not agree, you must discontinue use of the platform.
EasyMLS is a SaaS platform designed for yacht brokers, boat dealers, and marine professionals. The platform allows users to:
EasyMLS is a technology provider only and does not act as a broker, agent, or marketplace intermediary.
By creating an account and using the EasyMLS platform, the user confirms that they accept these general terms and conditions.
EasyMLS is a Multiple Listing Service (MLS) intended exclusively for professionals involved in the sale of pleasure boats, including but not limited to yacht brokers, agents, dealers, resellers, and marine professionals.
The platform provides tools that enable:
EasyMLS is a technology platform only and does not act as a brokerage, agency, intermediary, or representative in any vessel transaction. The publisher of the EasyMLS platform, EasyMLS Yachting, LLC, does not participate in the negotiation, marketing, or sale of any vessels listed on the platform.
EasyMLS Yachting, LLC does not act as an agent for vessel owners, does not represent professional brokers or sellers, does not participate in negotiations between buyers and sellers, and does not receive commissions or transaction-based remuneration. All professional users remain solely responsible for the content of their listings and their professional obligations in relation to the sale of vessels.
EasyMLS is primarily designed for marine industry professionals, including yacht brokers, agents, dealers, resellers, and authorized representatives of shipyards.
Private vessel owners may create an account subject to the following restrictions (collectively, "Private Owner Restrictions"):
(a) Distribution: Private owner listings may be distributed to partner portals selected by the owner. If the owner enables co-brokerage (see clause h), their listing becomes available to brokers within the MLS network who may introduce buyers in exchange for a negotiated commission. If co-brokerage is not enabled, the listing is distributed to external portals only and no broker commission obligation applies.
(b) MLS Publishing & Access: Private owner accounts may publish their vessel listing to the EasyMLS MLS network, where it will be visible to verified professional users who may contact the owner directly. However, private owner accounts cannot browse, search, view, or interact with listings published by other users within the MLS. Private owners can publish to the MLS — they cannot read it.
(c) Collaboration Features: Private owner accounts do not have access to broker-to-broker messaging, commission-sharing tools, or other professional collaboration features. Co-brokerage is available exclusively through the opt-in mechanism described in clause (h).
(d) CRM Features: Private owner accounts do not have access to professional CRM features, lead management, pipeline tools, or advanced analytics intended for brokers.
(e) Listing Limit: Private owner accounts are limited to 1 active listing per account unless expressly authorized in writing by EasyMLS.
(f) Verification: EasyMLS may, at its discretion, require proof of vessel ownership (registration, title, or equivalent documentation) before activating a private owner account or publishing a private owner listing.
(g) Direct Contact: Professional users who contact a private owner through the MLS do so directly. EasyMLS is not a party to any transaction, negotiation, or agreement between a private owner and a professional user.
(h) Co-Brokerage Opt-In: Private owners who publish their listing to the MLS may optionally make it available for co-brokerage. By enabling co-brokerage, the owner agrees in principle to pay a commission to any broker who introduces a successful buyer. The commission rate is negotiated directly between the owner and the broker on a case-by-case basis. The owner may decline a specific broker's proposed rate but may not refuse to pay a commission entirely once a broker has introduced a buyer who completes the purchase. EasyMLS is not a party to any commission agreement and does not set or guarantee commission rates.
EasyMLS Yachting, LLC reserves the right to approve, limit, suspend, or refuse private owner accounts at its sole discretion. Misrepresentation of professional status or circumvention of the Private Owner Restrictions may result in immediate account termination.
Professional sellers remain solely responsible for compliance with all applicable data protection regulations, including the General Data Protection Regulation (GDPR) where applicable. EasyMLS does not collect or process personal data on behalf of private sellers and does not accept listings from private individuals.
Listings on EasyMLS may be created or updated through:
Professional users are responsible for ensuring the accuracy and legality of their listing data.
Listings published on EasyMLS are automatically removed when a professional membership ends. In particular, listings may be removed within 15 days following:
EasyMLS does not guarantee the preservation of listing archives after account termination.
If the private owner is a consumer domiciled in the European Union or the United Kingdom, the private owner has the right to withdraw from a paid subscription within fourteen (14) calendar days of sign-up, without giving any reason and without penalty, under the Consumer Rights Directive (2011/83/EU) and equivalent national implementations.
To exercise the right of withdrawal, the private owner must send a clear statement of withdrawal (by email to info@easymls.com, identifying the account) before the 14-day period expires.
If the private owner wishes EasyMLS to begin providing the paid service before the 14-day period expires, the private owner must expressly consent to immediate performance and acknowledge that by doing so, the right of withdrawal is lost once the service has been fully performed. For subscription services, if the private owner withdraws during the 14-day period after use has begun, the private owner will owe a pro-rated amount corresponding to the portion of the subscription period already consumed.
This withdrawal right applies only to consumer private owners. Professional users (brokers, dealers, agents, and other marine professionals) are deemed to have contracted in a professional capacity and are not subject to the 14-day withdrawal right.

EasyMLS Yachting, LLC reserves the right to approve, reject, suspend, or terminate accounts at its discretion.
Users must provide accurate information during registration. Users are responsible for:
EasyMLS is not liable for unauthorized account access caused by user negligence.
Users are fully responsible for the listings they upload and must ensure they have the legal right to advertise the vessel. Users confirm that vessel information is accurate, photos and content are authorized, and pricing is lawful and transparent. EasyMLS does not verify vessel ownership, legal documentation, or broker authority.
EasyMLS provides a private MLS system allowing brokers to share listings. Participation in MLS is optional. Other brokers may view shared listings and negotiations occur directly between brokers. EasyMLS does not participate in commission agreements. All co-brokerage terms remain the responsibility of the participating brokers. EasyMLS provides technology services only and does not participate in vessel transactions, negotiations, brokerage activities, or commission arrangements.
EasyMLS distributes listings to partner portals through API integrations. Each partner portal is an independent third party operating under its own terms, pricing, and billing.
Unless the user has expressly enabled Managed Payments (section 7A), the following applies:
(a) The user is responsible for creating and maintaining their own account with each partner portal.
(b) Any fees charged by partner portals are invoiced and paid directly by the user to the partner portal. EasyMLS Yachting, LLC is not a party to those transactions and does not collect, hold, or transmit funds between the user and any partner portal.
(c) EasyMLS may, at its discretion, refer or connect users to partner portals for the purposes of account creation, onboarding, or promotional offers (including free trial periods offered by partners).
(d) Partner portal pricing, availability, and promotional terms are set by the partner portal and may change without notice. EasyMLS is not responsible for partner portal errors, delays, rejections, or billing disputes.
(e) The user remains solely responsible for any partner portal fees, VAT, sales tax, or other charges invoiced directly by the portal.
Where the user elects to pay fees to partner portals through EasyMLS, payment processing is performed by Stripe, Inc. and its affiliates (including Stripe Payments Europe, Ltd.) acting as the licensed payment service provider under the Stripe Connected Account Agreement and Stripe Services Agreement.
By enabling Managed Payments, the user:
(a) Authorizes Stripe to collect amounts due from the user and disburse those amounts to the designated partner portal(s) on the user's behalf.
(b) Acknowledges that EasyMLS Yachting, LLC acts solely as a technical facilitator and does not collect, hold, or transmit funds. All money movement is performed by Stripe as licensed payment service provider.
(c) Agrees that the Stripe Services Agreement and Stripe Connected Account Agreement apply in addition to these Terms.
(d) Accepts that refunds, chargebacks, and billing disputes are subject to the policy of the partner portal. EasyMLS does not guarantee refunds from partner portals and does not arbitrate billing disputes between users and portals.
(e) Understands that applicable VAT and sales tax are calculated and collected by Stripe Tax (or an equivalent service) at the time of payment, based on the user's location and tax status.
EasyMLS may substitute Stripe for another licensed payment service provider (such as Mangopay or Adyen for Platforms) upon notice to the user.
EasyMLS provides APIs for listing synchronization. Users must:
EasyMLS Yachting, LLC may suspend API access in case of abuse or excessive load.
Users may import vessel listings into EasyMLS by providing a website URL, API endpoint, data feed, or other data source.
Before any import is executed, the user must affirmatively confirm, via a dedicated checkbox in the EasyMLS interface, that: (i) the user is the owner of the website or data source, or has received written authorization from the owner; (ii) the user expressly authorizes EasyMLS to access, retrieve, process, and import listing data and images from that source; and (iii) the user accepts responsibility for any claim arising from the import. EasyMLS logs each confirmation with timestamp, IP address, user identifier, and submitted URL for the purpose of dispute resolution.
EasyMLS does not verify ownership or authorization. Users are solely responsible for ensuring that the data source belongs to them or that they have authorization to use it, that the import does not violate any website terms of service, and that the import does not infringe any intellectual property or database right.
EasyMLS operates its importer in good faith: it identifies itself through a dedicated User-Agent string, respects robots.txt directives of the target site where technically feasible, applies reasonable rate limits, and maintains a blocklist of domains for which manual review is required before import.
Rights holders who identify unauthorized use of their content on EasyMLS may request removal by emailing compliance@easymls.com. EasyMLS commits to remove imported content within 48 business hours of a credible takedown request and to suspend the user account responsible pending investigation.
The user agrees to indemnify EasyMLS Yachting, LLC against any and all claims, damages, costs, and attorneys' fees arising from imports initiated by the user, including but not limited to claims under the U.S. Computer Fraud and Abuse Act, EU Database Directive, copyright law, trademark law, and any third-party website terms of service.
EasyMLS Yachting, LLC reserves the right to suspend or terminate accounts involved in unauthorized scraping, data misuse, or intellectual property violations.
EasyMLS may provide AI tools for listing descriptions, translations, and brochure generation. Users remain responsible for reviewing AI-generated content before publication. EasyMLS is not liable for errors produced by AI systems.
EasyMLS processes personal and business data in accordance with its Privacy Policy. Data collected may include contact information, listing data, platform activity, and technical usage metrics. Users may request access to their data, correction, deletion, or export. EasyMLS applies internationally recognized privacy principles including GDPR-aligned practices where applicable.
EasyMLS may offer promotional free trials. After the trial period, subscription fees may apply. Subscriptions may include platform access, portal distribution services, API integrations, and additional premium tools. Subscriptions may be cancelled according to the conditions published on the pricing page.
Users agree not to:
Violations may result in account suspension or termination. EasyMLS reserves the right to remove listings suspected of fraud, misrepresentation, or unauthorized advertising.
All EasyMLS technology, code, databases, branding, and architecture remain the property of EasyMLS Yachting, LLC. Users may not:
By creating an account and using the EasyMLS platform, users grant EasyMLS Yachting, LLC a non-exclusive, royalty-free, worldwide license to use their company name, logo, and brand identity for marketing and promotional purposes. This authorization may include, but is not limited to:
Such use is strictly limited to identifying the user as a client or platform participant and does not imply endorsement, partnership, or joint venture.
Users may request removal of their logo or company name from marketing materials at any time by contacting EasyMLS.
EasyMLS Yachting, LLC may reference users as platform clients unless the user explicitly requests removal in writing.
EasyMLS aims to maintain high service availability. However, interruptions may occur due to:
Service uptime is not guaranteed.
EasyMLS provides software services only. EasyMLS Yachting, LLC is not liable for:
The platform is provided "as is" without warranties of uninterrupted service.
Users agree to indemnify EasyMLS Yachting, LLC against claims arising from:

Users may request account deletion at any time.
These Terms are governed by the laws of the State of Florida, United States. Any disputes shall be handled within the jurisdiction of Florida courts unless otherwise required by law.
EasyMLS Yachting, LLC may update these Terms periodically. Updated versions will be published on the EasyMLS website. Continued use of the platform indicates acceptance of updated Terms.
