1. Introduction

These Terms of Service ("Terms") govern access to and use of the EasyMLS platform, website (www.easymls.com), APIs, MLS network, and related services operated by Easy Sale USA, LLC. By creating an account or using EasyMLS, you agree to comply with these Terms. If you do not agree, you must discontinue use of the platform.

2. Description of EasyMLS

EasyMLS is a SaaS platform designed for yacht brokers, boat dealers, and marine professionals. The platform allows users to:

2A. Nature of the EasyMLS Service (MLS Platform)

By creating an account and using the EasyMLS platform, the user confirms that they accept these general terms and conditions.

EasyMLS is a Multiple Listing Service (MLS) intended exclusively for professionals involved in the sale of pleasure boats, including but not limited to yacht brokers, agents, dealers, resellers, and marine professionals.

EasyMLS is a technology platform only and does not act as a brokerage, agency, intermediary, or representative in any vessel transaction. The publisher of the EasyMLS platform, Easy Sale USA, LLC, does not participate in the negotiation, marketing, or sale of any vessels listed on the platform.

Easy Sale USA, LLC does not act as an agent for vessel owners, does not represent professional brokers or sellers, does not participate in negotiations between buyers and sellers, and does not receive commissions or transaction-based remuneration. All professional users remain solely responsible for the content of their listings and their professional obligations in relation to the sale of vessels.

2B. Professional Use and Limited Private Owner Access

EasyMLS is primarily designed for professional sellers and marine industry professionals, including yacht brokers, agents, dealers, and resellers. In certain cases, private vessel owners may be allowed to create an account on the platform with limited functionality.

Private owner accounts may be subject to restrictions including limited MLS visibility, restricted broker collaboration features, limited portal distribution access, and additional verification requirements. Easy Sale USA, LLC reserves the right to limit, approve, or refuse access to certain platform features depending on the user's professional status.

2C. Data Protection Responsibilities

Professional sellers remain solely responsible for compliance with all applicable data protection regulations, including the General Data Protection Regulation (GDPR) where applicable. EasyMLS does not collect or process personal data on behalf of private sellers and does not accept listings from private individuals.

2D. Listing Management and Data Flow

Listings on EasyMLS may be created or updated through:

2E. Listing Removal and Data Retention

Listings published on EasyMLS are automatically removed when a professional membership ends. In particular, listings may be removed within 15 days following:

4. Account Registration

5. Listing Ownership and Responsibility

Users are fully responsible for the listings they upload and must ensure they have the legal right to advertise the vessel. Users confirm that vessel information is accurate, photos and content are authorized, and pricing is lawful and transparent. EasyMLS does not verify vessel ownership, legal documentation, or broker authority.

6. MLS Collaboration

EasyMLS provides a private MLS system allowing brokers to share listings. Participation in MLS is optional. Other brokers may view shared listings and negotiations occur directly between brokers. EasyMLS does not participate in commission agreements. All co-brokerage terms remain the responsibility of the participating brokers. EasyMLS provides technology services only and does not participate in vessel transactions, negotiations, brokerage activities, or commission arrangements.

7. Portal Distribution

EasyMLS may distribute listings to partner portals through API integrations. Partner portals operate independently and portal pricing and policies are outside EasyMLS control. Listing display may vary across portals. EasyMLS is not responsible for third-party portal errors or delays.

8A. API Integration

EasyMLS provides APIs for listing synchronization. Users must:

8B. Listing Import Authorization

Users may import vessel listings into EasyMLS by providing a website URL, API endpoint, data feed, or other data source. By submitting a URL, API feed, or external data source to EasyMLS, the user represents and warrants that:

The user expressly authorizes EasyMLS to access, retrieve, process, and import listing data and images from the provided source for the purpose of synchronizing listings within the EasyMLS platform. Users are solely responsible for ensuring that:

Easy Sale USA, LLC does not verify ownership of external data sources and assumes no responsibility or liability for unauthorized imports, copyright violations, or data misuse performed by users.

Any legal claims resulting from imported content remain the sole responsibility of the user who initiated the import.

Easy Sale USA, LLC reserves the right to suspend or terminate accounts involved in unauthorized scraping, data misuse, or intellectual property violations.

9. Artificial Intelligence Tools

EasyMLS may provide AI tools for listing descriptions, translations, and brochure generation. Users remain responsible for reviewing AI-generated content before publication. EasyMLS is not liable for errors produced by AI systems.

10. Data Protection and Privacy

EasyMLS processes personal and business data in accordance with its Privacy Policy. Data collected may include contact information, listing data, platform activity, and technical usage metrics. Users may request access to their data, correction, deletion, or export. EasyMLS applies internationally recognized privacy principles including GDPR-aligned practices where applicable.

11. Subscription and Fees

EasyMLS may offer promotional free trials. After the trial period, subscription fees may apply. Subscriptions may include platform access, portal distribution services, API integrations, and additional premium tools. Subscriptions may be cancelled according to the conditions published on the pricing page.

12. Acceptable Use

13A. Intellectual Property

All EasyMLS technology, code, databases, branding, and architecture remain the property of Easy Sale USA, LLC. Users may not:

By creating an account and using the EasyMLS platform, users grant Easy Sale USA, LLC a non-exclusive, royalty-free, worldwide license to use their company name, logo, and brand identity for marketing and promotional purposes. This authorization may include, but is not limited to:
